BE IT RESOLVED, that the Bylaws of Hennepin Healthcare System, Inc. (HHS) be amended to add Article VIII - Interim Chief Executive Officer, language attached, establishing a clear process for the appointment of an Interim Chief Executive Officer in the event of a vacancy. All articles of the Bylaws of Hennepin Healthcare System, Inc. following the new article shall be renumbered accordingly and formatted for consistency.

Background:

This proposed amendment to add Article VIII - Interim Chief Executive Officer to the Hennepin Healthcare System, Inc. (HHS) Bylaws establishes a clear process for appointing an Interim Chief Executive Officer in the event of vacancy by adding a Article VIII - Interim Chief Executive Officer.

Current Request: Amend the Bylaws of Hennepin Healthcare System, Inc. (HHS) to add a new Article VIII - Interim Chief Executive Officer and renumber the remaining articles accordingly.
