BE IT RESOLVED, that the Hennepin County Administrator is authorized to negotiate an agreement with kpC Staffing, Inc. d/b/a kpCompanies for the procurement of consulting services to recruit, vet, and recommend candidates for the reconstituted Hennepin Healthcare System Inc. board during the period of August 4, 2026 through December 31, 2027, in the not to exceed amount of $125,000 plus any county-approved expenses; that following review and approval by the County Attorney’s Office, the Chair of the Board is authorized to sign the agreement on behalf of the county; and that the Controller be directed to accept and disburse funds as needed.

Background:

In August 2025, the Hennepin County Board took action to remove the corporate board of the county’s subsidiary, Hennepin Healthcare System, Inc. (HHS). Since that time, the county board has operated as the direct governing board of HHS. 

The 2026 Minnesota legislature enacted a health and human services bill, which includes a provision requiring the Hennepin County Board to reconstitute the HHS corporate board with qualified members, and to transition governance to the reconstituted HHS board, by January 15, 2027. The bill also slightly modified the qualifications for HHS board members.

On June 11, 2026, the Hennepin County Board passed Resolution 26-0216, directing the county administrator to identify and retain a consultant to assist with recruiting, vetting, and recommending candidates for the reconstituted HHS board. The County issued a Request for Information to eleven consulting firms and received five responses. Two firms were interviewed by county staff, and the team recommended proceeding with kpC Staffing, Inc. d/b/a kpCompanies.

For consulting services to recruit, vet and recommend up to 11 board members (not including appointed commissioners) by the legislative deadline, kpCompanies has proposed a flat fee not to exceed $125,000, to be paid in installments at agreed-upon milestones. The proposed fee exceeds the county administrator’s delegation. This board action would authorize the county administrator to negotiate the agreement for a not to exceed amount of $125,000 plus any county-approved expenses.
