BE IT RESOLVED, that the HHS Board approves the slate of the Hennepin Healthcare Research Institute Board of Directors comprising of:

Background:
Hennepin Healthcare Research Institute (HHRI) is a wholly owned subsidiary of HHS. Pursuant to its articles of incorporation HHRI is organized and shall be operated exclusively for charitable, scientific and educational purposes, and in connection therewith exclusively for the benefit of, to support the functions of, and to assist in carrying out the purposes, programs and activities of Hennepin Healthcare System, Inc., a public corporation and subsidiary of Hennepin County d/b/a Hennepin County Medical Center, in the pursuit of its research and educational missions by providing research facilities and support and administrative services. HHS is the sole member of the HHRI corporation.
As the sole member of HHRI, the HHS Board of Directors approves members of the HHRI Board of Directors. As a matter of good practice, and consistent with the HHRI Third Amended Bylaws, HHRI brings forth its slate for the Board of Directors annually for HHS Board approval. This slate is unanimously forwarded by the HHRI Board of Directors from their December 15, 2025, meeting.
Current Request:
Approve the membership slate for the HHRI Board of Directors, as provided above. The terms of the HHRI Board Members will be effective immediately upon adoption of the HHS Board of Directors.
